BY-LAWS OF JAOSA, INC.

 

 

  1. JAOSA was formed as a not-for-profit organization to provide an opportunity for youth to learn to play the game of soccer.  On March 5, 1987, the association was incorporated under the Missouri law as a general not-for-profit corporation utilizing the corporate name JAOSA, Inc.  Membership in the corporation is open to everyone who shares these goals, with voting members being defined in paragraph 16 below.

 

  1. The officers of JAOSA, Inc. shall consist of : President, 1st Vice President, 2nd Vice President, 3rd Vice President, Secretary, and Treasurer, who together with the coordinators of each grade division, and the Director of Referees, shall constitute the Executive Committee.

 

  1. All officers shall be elected by ballot of the general membership at the March meeting in each calendar year.  The President shall appoint the age group coordinators and the Director of Referees.

 

  1. The President shall preside at all meetings of JAOSA, Inc. and of the Executive Committee and shall be the General Manager of the Corporation.

 

  1. The 1st Vice President shall succeed to the powers of the President in the absence of the President, the 2nd Vice President shall succeed the 1st Vice President, the 3rd Vice President shall succeed the 2nd Vice President.

 

  1. The Secretary shall keep records and minutes of all meetings of the corporation, shall give notice of the meetings, and shall have general custody of the corporate records.

 

  1. The Treasurer shall collect all dues and have charge of all monies of the corporation which shall be kept in a depository designated by the Executive Committee.  The Treasurer shall pay all bills that have been approved by the President.  Reports shall be submitted monthly and at the end of the fiscal year to the Executive Committee.  The President or Treasurer can sign all checks.

 

  1. The Executive Committee shall transact all business of JAOSA, Inc., and shall have the power to enforce the laws of the game and the rules of the corporation.

 

  1. The President shall appoint a Nominating Committee of three from the general membership prior to the corporation’s March meeting, and it shall be their duty to nominate candidates for officers to be elected at the March meeting.  Additional nominations from the floor shall be permitted.  The officers elected at the March meeting shall assume office on June 1 of the following calendar year and shall serve a one-year term.

 

  1. Vacancies in any office shall be filled by majority vote of the Executive Committee at a special meeting called for that purpose.

 

  1. Regular meetings of the membership of the corporation shall be held during the year.  The Executive Committee may call special membership meetings.

 

  1. Executive Committee meetings shall be held as determined by the President.

 

  1. In case of doubt as to procedure at any meeting, “Roberts Rules of Order” shall govern.

 

  1. The President shall appoint the appropriate committees to carry out the programs of the corporation.

 

  1. The By-Laws may be changed by a two-thirds vote of all members present at a regular meeting provided the membership has been informed of the proposed changes at least thirty days prior to the meeting.

 

  1. Voting members of the corporation are all registered coaches, assistant coaches (one per team), grade division coordinators, committee chairpersons, and any other appointed or elected officials of the league who are active during the current season.

 

  1. No members shall receive any monies from the corporation except to cover direct expenses or reasonable or customary fees for professional services (including referees).

 

  1. The primary purpose of JAOSA, Inc. is to teach the rules and skills of the game of soccer to area youth.  Included in this is the teaching of good sportsmanship and good conduct.

 

  1. JAOSA coaches will be responsible to adhering to the JAOSA “Coaches Conduct Guidelines”.  Any infringement of these rules will be subject to disciplinary action as approved by the Executive Committee.

 

  1. Executive committee officers can be removed for just cause.
